This Agreement is between Fractal Research Group LLC, doing business as RoomWave, and the business accepting it. The person accepting represents that they can bind that business.
1. Business service
RoomWave provides a business background music service with a curated catalog, venue tools, compatible player applications, offline playback, and independently controlled zones. The Founding Venue plan includes one physical location and up to ten zones. Each independent zone needs its own active player device and external audio output.
2. Accounts and staff
You must provide accurate information, protect credentials and pairing codes, and revoke access that is no longer authorized. Owners may invite managers and staff and assign permissions. Staff access supports venue operations and does not create a personal music license.
3. Venue license
During an active paid or expressly authorized complimentary term, RoomWave grants your business a limited, nonexclusive, nontransferable, nonsublicensable license to use the approved RoomWave catalog as background music at the subscribed location through the included zones.
The license covers content delivered by RoomWave. It does not cover live performances, television, radio, DJ sets, outside streaming services, or other content supplied outside RoomWave. The catalog may change for additions, quality corrections, or rights and safety issues.
4. Offline playback
Compatible applications may store protected catalog files managed by the app. Offline access follows the organization’s paid period entitlement. You receive no ownership of those files and may not extract, export, decrypt, copy, redistribute, or retain them outside RoomWave.
5. Acceptable use
- Use RoomWave only for lawful business background music playback at the subscribed location.
- Do not copy, sell, sublicense, publish, broadcast, synchronize, or redistribute catalog audio.
- Do not evade security, plan, location, zone, account, or offline media controls.
- Do not share credentials outside the authorized venue team.
6. Equipment and operations
You supply and maintain devices, speakers, network access, power, and Bluetooth, AirPlay, wired, or other external routing. You are responsible for safe volume and lawful venue operations. Renaming a RoomWave zone does not change a device’s external speaker connection.
7. Fees, taxes, and cancellation
The Founding Venue plan is $15 monthly or $150 annually, plus applicable taxes, and renews automatically until canceled. Cancellation through the billing portal normally takes effect at the end of the paid term. The Billing, Cancellation, and Refund Policy is part of this Agreement.
8. Availability
RoomWave may improve or replace features and perform maintenance. The Founding Venue plan has no guaranteed uptime or service level commitment.
9. Ownership
RoomWave and its licensors retain their rights in the service, catalog, software, artwork, trademarks, and documentation. You receive the limited rights stated here. Feedback may be used without restriction or payment, without identifying your business publicly unless you permit it.
10. Privacy and security
The Privacy Policy explains RoomWave’s data practices. We use reasonable safeguards, and you remain responsible for passwords, permission choices, and prompt revocation of access.
11. Suspension and termination
RoomWave may suspend access for nonpayment, security threats, unlawful use, or material breach, with notice and an opportunity to cure when practical. Either party may terminate for an uncured material breach. If RoomWave ends the service generally, it will refund the unused prepaid period.
12. Warranty and liability
RoomWave will provide the service with reasonable care. Otherwise, to the fullest extent permitted by law, it is provided “as is” and “as available.” Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data.
RoomWave’s total liability will not exceed the fees paid during the twelve months before the event giving rise to the claim, except where liability cannot lawfully be limited.
13. Customer indemnity
You will defend and indemnify RoomWave against claims from third parties arising from unlawful use, content supplied outside RoomWave, violation of the acceptable use limits, or material breach of this Agreement.
14. Florida law
Florida law governs. State and federal courts located in Florida have exclusive jurisdiction. Before filing a claim, the parties will make a good faith effort for at least thirty days to resolve it through written notice and direct discussion.
15. Changes and complete agreement
Material updates will be presented through the service or email. This Agreement, the incorporated policies, the selected subscription, and any signed addendum are the complete agreement for RoomWave.
